SOLARA HK operates TallyPass, a platform that lets businesses ("merchants") issue and manage digital prepaid passes, memberships, and attendance passes for their own customers.
These terms are an agreement between you and SOLARA HK. They apply to merchants who hold a TallyPass account and, where indicated, to customers who hold a pass issued by a merchant. By using TallyPass, you agree to these terms.
The service
TallyPass provides tools for merchants to create pass templates, issue passes to their customers, record redemptions and check-ins with QR scans, and view balances and history. Passes can be viewed as a web page and added to supported digital wallets.
The balance and history shown on a pass reflect the records maintained in TallyPass by the merchant. Those records are the authoritative version of a pass; wallet cards and web views are displays of them.
Merchant accounts
Merchants must provide accurate business information and keep their sign-in credentials secure. A merchant is responsible for all activity under its account and its staff logins, and should disable staff access promptly when it is no longer appropriate. We recommend enabling two-factor authentication.
Passes are issued by the merchant
A pass records an arrangement between a merchant and its customer. The merchant — not TallyPass — is responsible for that arrangement: the price and payment for a package, what it includes, its validity and expiry, and any refunds, transfers, or disputes.
Merchants must make their own package terms clear to their customers, honour what a pass represents, and comply with the laws that apply to selling prepaid services in their jurisdiction.
For pass holders
If you hold a pass, it was issued to you by the merchant named on it. Questions about your balance, expiry, refunds, or the services behind your pass should go to that merchant. TallyPass maintains the pass records on the merchant's instructions and is not a party to your purchase.
Your pass link and QR code identify your pass. Keep them private — anyone who can present your QR code at the merchant could use your balance.
No payments through TallyPass
TallyPass does not process payments, hold funds, or store monetary value. Any payment for a package or membership happens directly between the merchant and its customer, outside the service.
Fees
Merchant fees for TallyPass — such as a setup fee and a monthly subscription — are as agreed with us in your order or invoice. We may change fees with reasonable advance notice; changes apply from your next billing period. Fees are non-refundable unless we agree or the law requires otherwise.
Acceptable use
You may not use TallyPass for anything unlawful, deceptive, or harmful; attempt to gain unauthorised access to the service or to another account's data; interfere with the operation of the service; or copy or resell the service itself.
Merchants may not use passes to issue instruments that would require a regulatory licence, such as stored-value payment products.
Digital wallets
Adding a pass to Google Wallet (or, in future, Apple Wallet) uses those providers' services under their own terms. We do not control wallet providers and cannot guarantee that wallet features remain available or unchanged; the web view of a pass remains available regardless.
Personal data
Our Privacy Policy explains how personal data is handled. Merchants control their customer records and are responsible for collecting them lawfully and using them only in ways their customers would expect.
Intellectual property
TallyPass — including its software, design, and brand — belongs to SOLARA HK and its licensors. Merchants keep the rights to their own names, logos, and content, and permit us to use them to display their passes and operate the service.
Service changes and availability
We work to keep TallyPass available and dependable, but the service is provided "as is" and we cannot promise it will be uninterrupted or error-free. We may improve, change, or discontinue features; if we discontinue the service as a whole, we will give merchants reasonable notice to export their data.
Liability
To the fullest extent permitted by law: we are not liable for indirect or consequential losses, or for loss of profits, revenue, or data; and our total liability to a merchant for all claims in any 12-month period is limited to the fees that merchant paid us for the service in that period. Nothing in these terms excludes liability that cannot be excluded by law.
TallyPass is a record-keeping tool. The merchant remains responsible for the commercial value its passes represent, and we are not liable to pass holders for a merchant's services, packages, or refunds.
Suspension and termination
We may suspend or terminate an account that breaches these terms, fails to pay fees, or creates a security or legal risk — where practical, we will warn the merchant first. A merchant may stop using the service at any time by giving us notice.
When an account closes, its passes stop being served. Merchants can request an export of their customer and pass records before closure; afterwards, data is deleted or retained as described in the Privacy Policy.
Changes to these terms
We may update these terms from time to time. Material changes will be notified to merchants (for example by email or in the dashboard) and reflected in the effective date at the top of this page. Continuing to use TallyPass after a change takes effect means you accept the updated terms.
Governing law
These terms are governed by the laws of the Hong Kong Special Administrative Region, and the courts of Hong Kong have exclusive jurisdiction over any dispute arising from them or the service.
